Choosing the form of company to incorporate in Bulgaria is relatively simple as there are just two main forms. These are:

  • Limited Liability Company
  • Joint-Stock Company
  • Both types can be either sole-owned (abbreviated to EOOD and EAD respectively) or with multiple shareholders (abbreviated to OOD and AD respectively).
  • The option to set up a Bulgarian Branch of Subsidiary is also open to foreign investors.

The regulatory environment in Bulgaria is relatively relaxed. Foreign investors have freedom over company formation in their chosen business sector and to transfer capital abroad. Prior authorisation is not required, except for certain industries such as banking, insurance, and transport, expediting the company formation process.

Bulgarian banking has been developing rapidly over the past few years and now provides a wide range of facilities for all types of business. Representative branches of the major European banks reside in Bulgaria, allowing for organised international and online banking.

The Bulgarian currency has been fixed to the Euro since the country’s membership with the EU. This makes the currency stable, with less risk of fluctuations.

Financial incentives in Bulgaria do not exist as such but the favourable tax regime can arguably be classed as an investment incentive in itself. Bulgaria has the lowest tax in the whole of Europe, with a Corporate Tax rate of just 10%.

Finding skilled staff for your Bulgarian business will not be difficult in the country as an English speaking and proficient workforce is readily available. Many of these workers are concentrated in the Capital of Sofia however, so if you are located in other areas of the country the availability of staff will be reduced.
